PPMWizard is a drafting tool, not a law firm. These Terms govern your use of the PPMWizard service operated at ppmwizard.com ("the Service"). By creating an account you agree to these Terms.
1. What PPMWizard is
PPMWizard helps you produce draft private placement memoranda ("PPMs") for real estate syndications. The Service provides templates, wizards, form fields, and document rendering. It does not provide legal, tax, investment, or financial advice. PPMWizard is not a substitute for review by a licensed securities attorney in your jurisdiction.
2. Your responsibilities
You agree that:
- You will not use documents generated by the Service to solicit investment without prior review and approval by your own qualified securities counsel.
- The accuracy of all content — financial projections, property information, sponsor disclosures, risk factors, and wire instructions — is your responsibility.
- You will comply with all applicable federal and state securities laws, including Regulation D and state blue-sky requirements, when offering and selling securities.
- You will not use the Service in a way that violates any law or the rights of another.
3. Accounts and subscriptions
Access to most features requires an account and an active subscription. Subscriptions are billed through Stripe on a recurring basis. You may cancel at any time through the Customer Portal. Fees already paid are not refundable except where required by law.
4. Ownership
You own the content you enter into the Service and the documents it produces. We do not claim any ownership interest in your deal content. We retain ownership of the Service itself, including the wizard, templates, and software.
You grant us a limited license to host, process, and display your content to operate the Service.
5. Privacy and security
Data is stored in our Supabase-hosted Postgres database. We use row-level security so that only you can access your offerings. See our Privacy Policy for full details on what we collect and how we use it.
6. Disclaimers
THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DOCUMENTS GENERATED BY THE SERVICE SATISFY SECURITIES LAW REQUIREMENTS IN ANY JURISDICTION.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
8. Indemnification
You agree to indemnify and hold us harmless from any claim arising out of (a) your use of the Service, (b) your offering or sale of securities, or (c) your violation of these Terms or applicable law.
9. Termination
We may suspend or terminate your account for material violation of these Terms. You may cancel your account at any time through the Customer Portal or by contacting support.
10. Changes
We may update these Terms from time to time. Material changes will be communicated by email or in-app notification. Continued use after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.
